These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or an entity) and ConvSpace Platforms Ltd. ("ConvSpace," "we," "our," or "us") governing your access to and use of our products (collectively, our "Services").

Our accounting services provide features for personal and business financial management, including but not limited to expense tracking, invoicing, financial reporting, budgeting, and tax preparation assistance. These services are designed to help you organize and understand your financial information but are not a substitute for professional accounting or tax advice.
Our educational testing services provide features for student assessment, learning measurement, and educational progress tracking. These services are designed to support educational goals but are not a substitute for comprehensive educational programs or professional educational assessment.
Our Services are not intended to provide legal, tax, accounting, investment, or other professional advice. While we strive to provide accurate information, we make no representation or warranty regarding the accuracy, reliability, or completeness of any information provided through our Services.

Our Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by ConvSpace, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services solely for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:
You retain all rights to any content you submit, post, or display through our Services ("Your Content"). By submitting, posting, or displaying Your Content, you grant ConvSpace a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and distribute Your Content for the purpose of providing and improving our Services.
You represent and warrant that you own or have the necessary rights to Your Content and that the posting of Your Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person or entity.

All fees are exclusive of applicable taxes, which may be added to the subscription fee based on your location. You are responsible for paying all applicable taxes associated with your use of our Services.
These Terms will remain in effect until terminated by either you or ConvSpace.
You may terminate these Terms at any time by canceling your account and ceasing all use of our Services.
We may terminate or suspend your account and access to our Services at any time, without prior notice or liability, if we believe, in our sole discretion, that you have breached these Terms, or for any other reason.
Upon termination of these Terms:

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, CONVSPACE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR CONVSPACE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE AMOUNT PAID BY YOU TO CONVSPACE FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless ConvSpace, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from:
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by ConvSpace. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.
If you access a third-party website or service from our Services or share your information with any third party, our Terms and Privacy Policy no longer govern. You do so at your own risk and should review the terms and privacy policy of the third-party website or service.
You agree to comply with all local, state, national, and international laws and regulations applicable to your use of our Services. You will not use our Services if you are located in a country embargoed by your country of residence or if you are on any governmental list of prohibited or restricted parties.
These Terms are governed by the laws of Nigeria, without giving effect to any principles of conflicts of law. Nothing in these Terms limits any rights you have under the mandatory consumer protection laws of your country of residence; where those laws apply, they prevail over this section to the extent of any inconsistency.
Any legal action or proceeding arising under these Terms will be brought in the courts located in Nigeria, and you consent to the personal jurisdiction and venue therein. Where the mandatory consumer protection laws of your country of residence give you the right to bring proceedings in the courts of that country, or restrict the courts in which proceedings may be brought against you, nothing in this section limits that right.
Before filing a claim against ConvSpace, you agree to attempt to resolve the dispute informally by contacting us at legal@convspace.com. We will attempt to resolve the dispute informally by contacting you through the email address you provide.
If a dispute cannot be resolved informally and you use our Services for business or professional purposes, you and ConvSpace agree to resolve it by binding arbitration. The seat of the arbitration will be Nigeria, the language will be English, and the arbitration will be conducted by a single arbitrator in accordance with the arbitration law in force in Nigeria from time to time. The parties may agree in writing on an arbitral institution and its rules; if they do not, the arbitrator will be appointed in accordance with that law.
If you use our Services as a consumer, this section does not require you to arbitrate. You may bring your claim in any court having jurisdiction, including a small claims court or equivalent where one is available to you. Nothing here prevents you and ConvSpace from agreeing to arbitration after a dispute has arisen.
Where you use our Services for business or professional purposes, you agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action. In every other case this paragraph applies only to the extent permitted by applicable law, and nothing in it limits any right you have under the mandatory consumer protection laws of your country of residence to participate in collective proceedings.
Nothing in these Terms will prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property rights, data security, or unauthorized access to the Services.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by ConvSpace.
You may not assign or transfer these Terms, by operation of law or otherwise, without ConvSpace's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. ConvSpace may assign or transfer these Terms, at its sole discretion, without restriction.
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and ConvSpace concerning your use of our Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ConvSpace with respect to our Services.
By using our Services, you consent to receiving electronic communications from us. These communications may include notices about your account, payment information, and information concerning or related to our Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
We will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.
